Wholesale Terms of Trade

By completing our Wholesale Registration on the Nesk Kids website (https://www.neskkids.com.au), you the retailer, are deemed to have read and agreed to the following terms and conditions. These terms and conditions apply to all wholesale orders.

Application to Wholesale:

To further ensure we are only selling to true retailers and online businesses, we ask all potential retailers to complete our wholesale application form. We will carefully review, and those businesses approved will receive a confirmation email along with their username and password within 1-2 businesses working days. We reserve the right to deny and approve those businesses we believe will fit in with the Nesk Kids branding, and also discontinue wholesaling to any businesses who are found to not adhere to any of the listed terms and conditions. Wholesale applications are open to retailers and online businesses worldwide.

Wholesale Products:

We currently offer all Nesk Kids Kits and Storage Boxes for wholesale purchases. 

Minimum Order:

Nesk Kids products are required to be ordered in groups of twenty, this can consist of any product but is to total 20 overall. This is our only minimum order requirement.

Submitting Orders:

All orders are processed through our website. Once you have been approved as a stockist you will be issued with a logon and password, which will give you access to our online wholesale collection and prices. If you have any issues, please email us.

Wholesale Pricing:

All prices are listed in $AUD dollars. The cost of shipping is at an additional cost. Prices are subject to change without notice. 

Shipping:

We use live Shipping rates at checkout for all Australian wholesale orders. This amount is subject to change. Alternatively, pick-up is available from Northcote, Victoria Australia.

For all International wholesale orders, your online wholesale order will be submitted to us – we will investigate the best and most cost-effective way to ship that order to you.  Your order will be updated to reflect the shipping cost accordingly and will be sent back to you for payment. 

Shipping Issues on Online Orders:

Please be sure to double-check your ship-to address upon check out, as we cannot be held responsible for shipping address errors. It is your responsibility to make sure your order is going to your exact address when you review your order information. 

Dispatch Time:

Orders are filled and shipped within 3-5 business days (excluding weekends and public holidays) from the day of order.  Larger orders may require more time. Note: Orders that include Kits may take longer as they are all handpacked by us here in Melbourne, Australia.

Damaged Items / Customer Returns:

Should a customer return any Nesk Kids product to you that is damaged or broken due to material failure or workmanship issues, please call or email us with details of the defect so we can look into replacing the item. However, we require the product to be sent back to us in Melbourne, Australia.  Each return must only be sent back to us upon request and approval of returning the faulty item and a photo may also be requested and sent to us prior to returning the item. 

Faulty Items:

Each of our products undergo quality checks, however we also urge you to also inspect all the items in your shipment. We are happy to issue replacements when the defects are reported to us within 2 weeks of you receiving your shipment. However, items not reported to us within this time frame will not be accepted for return and replacement or refund.

Returns:

If you are returning a faulty product, please ensure that you contact us by email first explaining the quality issue prior to returning it - ensure that all returned items are in their original packaging. Please treat your return just like a return in your own store. 

Removing Nesk Kids Branding / Labels:

All Nesk Kids Branding / Labels are always to remain on our products. We reserve the right to discontinue wholesale business with anyone reported to have removed our branding/labels and using their own in their place. 

Product Modification:

Nesk Kids products cannot be modified in any way for resale or distribution. If you are unsure about product usage, please contact our team to discuss further.

Resale of Nesk Kids Products:

You will find our suggested and recommended retail price on all our products on our website. This however is a guide; you are welcome to set your own retail price and mark-up however we strongly advise that all items are sold at a reasonable retail mark-up. To ensure we keep it fair across the board of our wholesalers, we do not accept anyone reselling our products at wholesale or near wholesale prices, or on Ebay / Amazon / Etsy. We reserve the right to refuse future business with you.  

Exclusivity:

Please note as a Nesk Kids stockist you do not automatically receive exclusivity in your area and without a written agreement we cannot guarantee exclusivity. If you would like to stock Nesk Kids exclusively please read the below terms and contact us at hello@neskkids.com.au to receive an application form.

You are responsible for:
•    Contacting Nesk Kids via hello@neskkids.com.au to receive an exclusivity form and submit within 7 working days.
•    Ensuring that all store locations you wish to have exclusivity for are included on your application. If you move location you must inform us in writing at hello@neskkids.com.au. Please note that moving to a new area may impact your arrangement with Nesk Kids.
•    Informing us via email at hello@neskkids.com.au any changes to business structure, management or ownership that will affect our trading arrangement.
•    Spending a minimum of AU $5,000.00 AUD (including GST) across our collection per season. The specified seasons are July-December and January-June.
•    Tracking seasonal spending and contacting us regarding any concerns about meeting the minimum spend.
•    Placing orders within the given deadlines as notified via email and other communications by Nesk Kids. 
•    Ordering a range of products from Nesk Kids’ most recent collection within the seasonal deadline.
Please note, if you are a new stockist and wish to apply for exclusivity with your first order a minimum spend of AU $1,600.00 (including. GST) applies to that order. We do not provide exclusivity for online retail stores.

Nesk Kids is responsible for:
•    Supplying our products to you exclusively in your suburb as specified on the written agreement.
•    Maintaining an honest and transparent relationship with you.
•    Providing specialised support, communications and materials relevant to Nesk Kids.
•    Referring traffic to your store and promoting your status as an exclusive stockist in your suburb.

Payment:

We accept bank transfer, debit/credit payments only, including Visa and Mastercard. We do not offer terms or ship COD. Paypal and Afterpay is not accepted for wholesale orders, additional charges will be applied if payments are received via these avenues. Payment must be made in full before your order can be shipped.

Online Payment & Security:

Online payments are processed via secure payment gateway. Nesk Kids website is secured by encryption SSL Certificates. 

Mind-Changing Clause:

If Nesk Kids ever decides to change our mind about any of our wholesale terms of trade, update pricing or minimums, or discontinue certain products, Nesk Kids may do so at any time. 

Sale Items:

We reserve the right to hold sales on any products in our online store at any time. 

Copyright & Intellectual Material:

All Nesk Kids product images and product copy are subject to copyright and are the property of Nesk Kids. Approved Nesk Kids stockists are welcome to use any of the images on our website relating to our products which you are selling in your store or online. If you require higher resolution images, please contact us and we can organise to have them emailed out to you. However, our images are only to be used in association with promoting our range and not for personal use.

Liability:

Nesk Kids cannot be held liable for any losses, costs, damages, and expenses (including legal costs) resulting from claims arising out of your breach of these Terms of Trade.

Pre-Orders:

Estimated delivery dates are approximate and for guidance only. We try our best to get your order dispatched to you as soon as possible, but we are sometimes affected by delays outside of our control. Pre-orders are considered final orders and cannot be cancelled once paid.
We reserve the right to cancel the production of any of the products in our range. If this occurs, the payment received for the cancelled product will be refunded in full to the stockist.
